Albright, Rusher & Hardcastle has represented many oil and gas producers, royalty owners, oil field supply companies, mining companies and other in the oil and gas industry in a wide range of matters. The representation has included assisting clients with the acquisition of mineral interests, representing promoters with drilling programs and income funds, and drafting a variety of contracts including operating agreements, leases and gas processing agreements. They have also represented clients in oil and gas litigation including disputes over participation agreements, collection of amounts due under operating agreements and gas marketing agreements.

Representative Experience

  • Represented various independent oil and gas producers in connection with the sale of oil and gas properties of significant value. The engagements included the negotiation and preparation of the sale agreement and various conveyance documents, as well as the review of title matters.

  • Representation of independent oil and gas producers in connection with various Reg D private placement oil and gas drilling programs. The engagements have typically included the preparation of the offering memorandum, including the research and preparation of the discussion describing the Federal income tax consequences of an investment in the program, the preparation of the program agreement and limited partnership agreement and the required Reg D filings with the SEC and state securities departments.

  • Served as lead counsel for Tulsa based oil field supply company in defense of $40 million misappropriation of trade secrets case. Obtained very favorable jury verdict following three week jury trial in the United States District Court for the Western District of Oklahoma.

  • Represented oil and gas exploration and production companies in multiple collection actions to recover unpaid operating expenses and obtained jury verdict for 100% of the amount sought by gas marketing company in breach of contract litigation.

  • Represented local investor action against promoter of drilling opportunity in Canada. Representation involved foreclosure on the drilling permit and obtaining a judgment for fraudulent conveyance for diversion of the drilling permit.

  • Represented a Tulsa based oil and gas company in establishing a mining subsidiary and acquiring the mining/quarry property and assets.
